OFFICIAL RULES Wray Ford Jingle Contest

1. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID OUTSIDE OF LOUISIANA AND WHERE PROHIBITED OR RESTRICTED BY LAW.

2. ENTRY PERIOD: THE WRAY FORD JINGLE CONTEST COMMENCES AT 12:01 AM CST ON JUNE 9, 2014 AND ENDS AT 11:59 PM CST ON SEPTEMBER 5, 2014. ALL ENTRIES EMAILED MUST BE RECEIVED BY 9/5/14 OR MAIL ENTRIES POSTMARKED BY 9/2/14. ALL INTERPRETATIONS OF THE OFFICAL RULES AND DECISIONS MADE BY WRAY FORD AND FLAGSHIP MARKETING RELATING TO THE CONTEST ARE FINAL.

3. CONTEST OVERVIEW: WRAY FORD IS LOOKING FOR A UNIQUE, CREATIVE VERSION OF THEIR "PEOPLE COME FROM EVERYWHERE" JINGLE. SUBMISSIONS ARE BEING ACCEPTED FROM MIDDLE AND HIGH SCHOOL AGE SCHOOL, CHURCH OR NON-PROFIT ORGANIZATIONS IN THE AREAS IN THE 96.5 KVKI LISTENING AREA AROUND BOSSIER CITY AND SHREVEPORT, LOUISIANA. THERE WILL BE FIVE (5) WINNERS (HEREINAFTER DEFINED). THE WINNERS WILL EACH RECEIVE THE OPPORTUNITY TO HAVE THEIR WINNING JINGLE PERFORMANCE SUBMISSION SHOWN IN WRAY FORD TELEVISION AND RADIO COMMERCIALS AND OTHER PRIZES AS SPECIFIED IN SECTION 12: PRIZES. CASH PRIZES WILL BE AWARD TO THE SPECIFIC SCHOOL, CHURCH OR NON-PROFIT ORGANIZATION AS LISTED IN THE ENTRY FORM. · BY ENTERING THE CONTEST, ENTRANTS ACKNOWLEDGE AND AGREE THAT NOTHING IN THIS CONTEST OR OFFICAL RULES IS INTENDED TO CREATE OR GIVE RISE TO ANY EMPLOYMENT AND ENTRANT SHOULD NOT HAVE ANY EXPECTATIONS OF EMPLOYMENT, DURING OR AT THE CONCLUSION OF CONTEST.

4. Eligibility: The Contest is open to legal residents in the 96.5 KVKI listening area – at the time of entry into Contest. Entrants younger than 18 years of age (“Minors”) must obtain parental or legal guardian consent to be eligible to enter Contest.

5. To Enter: · To Enter by Uploading VIDEO OF JINGLE PERFORMANCE: During Contest Period: (i) create an original performance no longer than :60 seconds of the Wray Ford jingle based on the current Wray Ford jingle on WrayFord.net. (ii) 96.5 KVKI will put up a direct link to registration page on WrayFord.net. (iii) download entrant release form and Participant Release form found on the WrayFord.net website and complete all required fields on the submission form and eligibility questionnaire; (iv) include the Vimeo link to your film on the registration page (If you do not have an account with Vimeo, you can open an account for free at Vimeo.com); (v) mail both of the fully executed releases to “Wray Ford Jingle Contest” Team, 9935 Crestwick Drive, Dallas TX 75238 or EMAIL forms and link to performance to: wrayfordpromo@gmail.com

The Entrant Release Form and the Participant Release Form will hereinafter be referred to collectively as “Releases”. All submissions must be received online by 11:59 p.m. CT on September 5, 2014, and mail in the Releases, must be postmarked by September 2, 2014, and received by September 5, 2014. By successfully transmitting a completed entry as directed, uploading or your jingle, and mailing in the Releases, entrant will receive one (1) submission into Contest. Only fully completed submissions are eligible. Incomplete and/or inaccurate submissions are void. Jingles must be in the English language and be no longer than :60 seconds and must not exceed a size of 20 MB. Performances that are less than 30 seconds or more than 60 seconds in length will be disqualified. The film formats required for uploading are .avi or .mov.

NOTE: Entrant (or entrant’s parent or legal guardian if entrant is a Minor) must sign the Entrant Release Form and each individual that is featured in or that participated in any way to the contents of Submission must sign (their parent or legal guardian if they are a Minor) the Participant Release.

Submissions must be the entrant’s version of pre-existing jingle from Wray Ford.

There is a limit of a total of one (1) Submission per person or school or church or non-profit organization. If it is suspected that an entrant uses multiple email addresses and/or street addresses to submit more than one submission, only the first submission will count. In the event of a dispute over who submitted a winning online entry, the authorized subscriber of the email account used to participate in Contest at the actual time of entry will be deemed to be the entrant. The “authorized account subscriber” for online submissions is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Proof to Sponsor’s satisfaction of being the “authorized account subscriber” may be requested by Sponsor.

6. Submission Guidelines: All contents of entrants submissions, including but not limited to, content, text, images, graphics, photographs, captions and descriptions, data, codes, programs, hereinafter referred to as (“Submission” or “Submissions”), must be completely original to entrant and must not have been taken or composed, in whole or in part, from any other source other than entrant, must have been created specifically for Contest, and must not have been published, released commercially, commercially prepared, or submitted to any other contest or promotion in order to be eligible for submission to Contest. Submissions, which contain materials that are not the original work of the entrant, or are illegible or incomplete, will not be accepted.

Submissions must not include or depict any of the following: obscenity, inappropriate language or lyrics, inappropriate attire, nudity, explicit sexual activity, illegal drug, alcohol or tobacco use, violence, firearms, weapons, activities that may appear unsafe or dangerous, religious references, promotion of any political agenda or message, commercial products, unauthorized copyrighted, trademarked or trade dress properties, including, but not limited to, music, photographs, sculptures, paintings and other works of art or images published on or in Web sites, television, movies or other media, brand names and logos or private property, or the name, image, likeness or other indicia identifying any person, living or dead, unless entrant has obtained a property release specific for uses specified herein, material that is hateful, tortuous, defamatory, disparaging, derogatory, slanderous, libelous, or otherwise unlawful, material that violates or infringes on another’s rights, including but not limited to, rights of privacy or publicity, copyright, trademark or any other intellectual property rights, material that promotes bigotry, racism, hatred or harm against any group or individual, or promotes discrimination based on race, ethnicity, sex, religion, nationality, disability, sexual orientation or age, personal identifiable information, including but not limited to, personal names, license plates, phone numbers, personal addresses, and any other content, including but not limited to, text, images, graphics, photographs, captions and descriptions, data, codes or programs that could be considered inappropriate or offensive, as determined by

Sponsor in its sole discretion. Sponsor reserves the right to disqualify any Submission that it deems, in its sole discretion, to be a violation of these Official Rules and Submission Guidelines, or that are not in keeping with Sponsor’s image. Such Sponsor may modify or edit any Submission, or request entrant to do so, so that such Submission meets such Submission Guidelines. Sponsor is not obligated to use, publish or display or broadcast any Submission.

By entering Contest, each entrant represents and warrants that: (a) it has all rights to the contents of Submission and all components thereof, and that entrant has obtained all rights, consents, and permissions, including, but not limited to, those of any persons that may have participated in Submission, necessary to grant the rights granted herein; (b) that the Submission was created specifically for Contest; (c) the Submission was not commercially prepared; (d) that the Submission, in whole or in part, has not been published or released commercially; (e) the Submission does not and will not violate any law, statute, ordinance or regulation; (f) the Submission is free and clear of any and all liens or claims with respect to the use of the Submission in the manner authorized herein, and will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on any rights or interests of any third party, or give rise to any claims for any payment whatsoever; and (g) the Submission is not and will not be defamatory, libelous, pornographic or obscene.

All entrants, whether a Finalist or a Winner or not, agree that in consideration for being granted the right to enter this Contest, they are granting Sponsor, its representatives, affiliates, licensees, successors and assigns, (a) the right, but not the obligation, to edit, adapt, reformat, rearrange, modify, combine with other material, add to and/or customize Submission; and (b) the exclusive, irrevocable, royalty free, right and license to exhibit, display, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, rebroadcast, transmit, record, publicly perform, create derivative works of, distribute and synchronize in timed relation to visual elements, and or otherwise exploit, the Submission, and/or any portions or excerpts thereof, in any manner, including advertising, promoting and publicizing Sponsor, an unlimited number of times, in any and all media, now known or hereafter devised, in perpetuity, throughout the world, without any additional liability, obligation or additional payment of any kind to entrant or any third party.

Entrants retain all right, title and interest which the entrants may have in and to their Submission, including copyright and any other intellectual property rights. Entrants agree to obtain, upon request from Sponsor, any documentation necessary to prove their unrestricted ownership in all contents of Submission and their right to use Submission as specified in these Official Rules. Entrants also acknowledge and agree that Sponsor shall own all right, title and interest, including all copyright ownership, in any derivative works they may create from any element of Submission.

All entries submitted in compliance with these Official Rules and not disqualified are considered “Eligible Submissions”. All physical and digital Submission materials become the sole and exclusive property of Sponsor. Submissions will not be returned and receipt of Submissions will not be acknowledged.

By participating in Contest, each entrant grants the right to Sponsor to record, videotape and photograph the entrant (“Images”). These Images will be owned by Sponsor. Sponsor and each of its designees shall have the right to use, edit, adapt, post, stream, copy and exploit such Images, and all elements embodied therein, including any names, likenesses, voice, conversation and any other attributes of entrant’s personality and appearance, individually or with others, in whole or in part, in conjunction with other material, in any and all media now known or hereafter devised, for the purpose of trade, advertising, promotion or any other lawful purpose, whatsoever, in perpetuity, throughout the world, without additional compensation, consideration, notification or permission, except where prohibited by law.

7. Judging the Winner Selections: Judging will begin on September 5th. The first 25 finalists will be determined the Dallas Film Society Education Director and New Orleans Film Festival Senior Programmer. THE 10 FINALISTS WILL BE DETERMINED by the KVKI morning team. The final five (5) winners will be determined by George Wray III. Judging will be based on creativity and quality of performance.

Winners will be announced Friday, September 12th.

Contest Prizes:

Grand Prize: $2,500 | First Prize: $1,500 | 2nd - 5th Prizes: $500 (total 3 prizes)

The application of the judging criteria shall be in the sole and absolute discretion of the Judges. In the event of a tie or dispute or for any other reason that Sponsor deems necessary, determination of the Grand Prize Winners will be made by the Wray Ford and based on the Eligible Submissions that best illustrate ideas or perspectives that are forward-thinking.

The Judges reserve the right to conduct interviews with any entrant regarding their Submissions. The Judges also reserve the right to extend the Contest Period and/or Voting Period, select more or less Semifinalists or Winners, or not to declare any Semifinalists or Winners if, in their sole discretion, the Submissions do not meet the qualification standards based on the judging criteria specified herein. Contest Entities, Judges and Online Judges disclaim any liability from any entrant and entrants agree to waive any claims against Contest Entities, Judges and Online Judges relating to the judging or awarding process.

11. Finalist Verification: To be eligible to be declared a Semifinalist and to receive the Prizes, the potential Semifinalists participants must sign (his or her parent/legal guardian if potential Finalist is a Minor), within five (5) days of receipt of such documents from Administrator or Sponsor, an Affidavit of Eligibility and Release releasing Contest Entities from any and all liability, loss, claims, demands, and causes of action for personal injuries or death and/or damage to personal or real property, theft, loss, or any other harm suffered directly or indirectly from potential Finalist’s participation in Contest, including, but not limited to, traveling to, preparing for and/or participating in any Prize related activity, or the acceptance, possession, use or misuse of any Prize, to be eligible for the Prizes, and will also grant the Contest entities the right, except where prohibited by law, to use potential Finalist’s name, picture and/or likeness, form or biographical information or voice, for trade, advertising and publicity purposes, in any media now known or hereafter devised, throughout the world, in perpetuity, without additional compensation or consideration or any notification, and an exclusive irrevocable, royalty-free, license, in perpetuity, commencing at Contest entry granting Sponsor, Administrator and Wray Ford the right to use the Submission as specified herein; and any other release deemed necessary. In addition, Winners must obtain approval from their school or church or non-profit organization, as applicable, (“Organization”) to accept the portion of the Prize allocated to the School or Church or non-profit Organization, which will include the Winner presenting the Organization with an agreement provided by Sponsor. If the Organization does not sign the agreement and accept the Prize allocated to Organization, that Prize will be forfeited. Entry into Contest constitutes agreement to sign such releases. If a potential Semifinalist does not sign these Releases and any other documents provided by Administrator or Sponsor with respect to the Prizes and return them within the time frame specified, the potential Semifinalist may be disqualified and the Prizes forfeited. Prize or Prize documents returned as undeliverable will result in forfeiture of Prizes. When properly executed, and providing potential Semifinalists are in compliance with the Official Rules, potential Semifinalists will be determined to each be a Contest winner (“Winner”, and collectively “Winners”). Sponsor expressly reserves the right to delay the announcement of the Winners for any reason Sponsor deems necessary.

By participating in Contest, each Winner acknowledges that Contest Entities have not and will not provide insurance of any kind relating to the Prize and that each Winner (his or her parent/legal guardian if Winner is a Minor) will be responsible for obtaining and paying for any life, travel, accident, car, property or other form of insurance relating to the Prizes.

12. 96.5 KVKI will broadcast from Wray Ford three (3) times during the summer to promote the contest to give organizations an opportunity to have their performance filmed at the dealership.

13. Prize Terms: The dates for fulfillment of the Prizes will be in September, but subject to change in Sponsor’s sole discretion. If for any reason any Prize is unavailable or any Prize related event is delayed, cancelled or postponed, Sponsor reserves the right to modify the Contest in its sole discretion and award a substitute Prize, or portion of Prize, of comparable or greater value as set forth in these Official Rules. No substitution, transfer, assignment or cash equivalent of the Prize, or any portion thereof, is permitted by a Winner. Contest Entities shall have no responsibility or obligation to a Winner or potential Winner who is unable or unavailable to, or who does not for any reason, accept or utilize the Prizes. All costs and expenses not specifically listed above as part of the Prizes, including, without limitation; transportation, lodging, personal expenses, and any equipment to be used in connection with the Prizes, are solely Winner’s responsibility. Prizes are provided “as is”. Entrants acknowledge that Contest Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prizes, including any express warranties provided by a Prize supplier that are sent along with the Prizes. Arrangements for the fulfillment of the Prizes will be made by Administrator.

Winners must supply Administrator and/or Sponsor with their Organization's 501(C) form for tax purposes. An IRS Form 1099 will be issued in the name of the Organization Submission Winners for the actual value of the Prizes received if the actual value of Prizes received by the Winner is over $600. All federal, state and local taxes, and any other costs and expenses associated with acceptance and/or use of any Prize not specifically provided for in these Official Rules are solely the Winner’s responsibility.

14. General Terms: Contest Entities are not responsible if Contest cannot take place, or if any Prize cannot be awarded due to delays, interruptions or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of the reasonable control of Contest Entities. If, for any reason Contest is not capable of running as planned, including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Contest Entities, which, in Sponsor’s sole determination, corrupts or affects the administration, security, fairness, including the online submission process or proper conduct of this Contest, including, but not limited to the online submission process, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend Contest or any part of the Contest, including the online submission process, and to determine the Winners in its sole discretion based on the judging criteria specified herein. If Contest is terminated prior to the expiration date stated herein, notice will be posted on the Site and the Prizes may be awarded to potential Winners to be selected from among all Eligible Submissions received up until and or after, if applicable, the time of modification, cancellation or termination or in a manner that is fair and equitable as determined by Sponsor. Sponsor reserves the right to modify and amend these Official Rules from time to time during Contest for clarification purposes without materially affecting the terms and conditions of the Contest.

Entrants agree to indemnify and hold harmless Contest Entities from any and all liability arising out of or relating in any way to entrant’s participation in Contest and to release all rights to bring any claim, action or proceeding against Contest Entities. Contest Entities assume no responsibility for and will disqualify Submissions and votes that are: stolen, late, lost, illegible, incomplete, invalid, unintelligible, damaged, destroyed, delayed, misdirected, not received, postage due mail submission, garbled votes or failure to receive votes, or entries that have incorrect or inaccurate submission information, whether caused by any of the equipment or programming associated with or utilized in Contest, or by any human, mechanical or electronic error which may occur in the processing of the submissions in Contest, or other errors appearing within the Official Rules or in any Contest related advertisements. If due to a printing, production or other error, more prizes are claimed then are intended to be awarded for any Prize level, the intended Prizes will be awarded in a random drawing from among all verified and validated prize claims received for that Prize level. In no event will more than the stated number of Prizes be awarded. Contest Entities assume no responsibility for any typographical or other error in the printing of the offer, administration of Contest, errors in processing entries, identifying the Semifinalists or Winners, in the announcement of the Prizes and Semifinalists and Winners, and the delivery of the Prizes, any problems or technical malfunction of any telephone network or lines, computer systems, online systems, servers or providers, computer equipment, software, failure of any email or players on account of technical problems or traffic congestion on the Internet or on any Web site, or any combination thereof, including, without limitation, any injury or damage to entrant’s or any other person’s computer system/software related to or resulting from participation or downloading any materials in Contest. Use of any device to automate or subvert submission is prohibited and any submissions received by such means will be void. No software-generated, robotic, programmed, script, macro or other automated entries are permitted and any submissions or votes received by such means will be void. Sponsor reserves the right in its sole discretion to disqualify any person they suspect or find: (i) to have used a software generated, robotic, programmed, script, macro or other automated entry; (ii) to have tampered with the submission process or the operation of Contest; (iii) to be acting in a disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; (iv) to display behavior that will bring such Winner or Contest Entities into disgrace; (v) to have provided inaccurate information on any legal documents submitted in connection with Contest; or (vi) to be acting in violation of these Official Rules.

ANY VIOLATION OF THESE OFFICIAL RULES BY A WINNER WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS A WINNER OF THE CONTEST, AND ALL PRIVILEGES AS A WINNER WILL BE IMMEDIATELY TERMINATED. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITED BY LAW. THE LOUISIANA COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF TEXAS SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THESE COURTS.
